1. Acceptance of these Terms

By accessing, browsing, or otherwise using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

If you use the Website on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and that organization.

2. Definitions

“Content” means all text, data, documentation, listings, images, and other materials made available on the Website. “Listing” means an entry describing a third-party product, project, or resource. “Submission” means any material you send to us, including through the submission form. “VelonLabs Products” means the software, protocols, and services developed by VelonLabs and described on the Website.

3. Eligibility

You must be at least the age of majority in your jurisdiction and legally able to enter into these Terms to use the Website. The Website is not directed to children, and we do not knowingly collect information from them.

4. Purpose of the Website; no professional advice

The Website is an informational and discovery resource. It presents overviews of VelonLabs Products, research, documentation, and a directory of third-party projects and resources.

Nothing on the Website constitutes financial, investment, legal, tax, or other professional advice, and nothing on it is an offer, solicitation, or recommendation to buy, sell, or use any asset, security, token, or product. You are solely responsible for your own decisions and should obtain independent professional advice where appropriate.

5. Project listings and third-party content

Listings of external projects and resources are provided for discovery only. A Listing is reviewed for listing completeness, not for the technical, security, or financial safety of the underlying project.

VelonLabs does not operate, audit, endorse, monitor, or guarantee any listed project or resource unless we expressly state otherwise in writing. Your use of any listed project or resource is at your own risk, and you should review that provider’s current official terms, documentation, and security posture before any production or financial use.

6. User submissions

If you send us a Submission, you grant VelonLabs a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, adapt, publish, and display it for the purpose of operating, reviewing, and improving the Website and its directory.

You represent that you own or have the necessary rights to your Submission, that it is accurate and not misleading, and that it does not infringe any third-party rights or violate any law. We may review, edit for clarity, decline, remove, or delist any Submission or Listing at our discretion and without notice.

7. Acceptable use

You agree not to: (a) use the Website in violation of any applicable law or regulation; (b) submit false, misleading, infringing, or malicious content; (c) attempt to gain unauthorized access to, probe, or disrupt the Website, its infrastructure, or related systems; (d) scrape, harvest, or systematically extract Content except as expressly permitted; (e) misrepresent your affiliation with any person or entity; or (f) interfere with any other party’s use of the Website.

8. Intellectual property

The Website, the VelonLabs name and logos, and all Content other than third-party materials and Submissions are owned by or licensed to VelonLabs and are protected by intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Website without our prior written consent.

Where VelonLabs releases software under an open-source license (for example, a client SDK), your use of that software is governed by the applicable license terms accompanying it, which prevail over this section for that software.

9. Non-custodial notice; security

VelonLabs builds non-custodial infrastructure. We will never ask you for your private keys, seed phrase, recovery codes, or funds, and we cannot move assets on your behalf. Treat any communication that requests such information — by email or otherwise — as fraudulent, and report it to us.

You are responsible for maintaining the security of your own wallets, devices, and credentials.

10. Third-party links and services

The Website may link to third-party websites, applications, and services that we do not control. We are not responsible for their content, availability, security, or practices, and providing a link does not imply endorsement. Your use of any third-party service is subject to that party’s own terms and policies.

11. Disclaimers of warranties

The Website and all Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

VelonLabs does not warrant that the Website will be uninterrupted, error-free, secure, or free of harmful components, or that any Content or Listing is accurate, complete, or current.

12. Limitation of liability

To the maximum extent permitted by law, VelonLabs and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or digital assets, arising out of or relating to your use of (or inability to use) the Website or any listed project, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Website will not exceed one hundred Canadian dollars (CAD $100).

13. Indemnification

You agree to indemnify and hold harmless VelonLabs and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Website, your Submissions, or your violation of these Terms or any applicable law or third-party right.

14. Privacy

Our collection and use of information is described in our Privacy Policy. By using the Website you consent to the practices described there.

15. Changes to the Website and these Terms

We may modify, suspend, or discontinue any part of the Website at any time. We may also update these Terms from time to time; the “last updated” date above indicates when the current version took effect. Your continued use of the Website after changes become effective constitutes acceptance of the revised Terms.

16. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of Canada, without regard to its conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the competent courts located in Canada for the resolution of any dispute arising out of or relating to these Terms or the Website, subject to any mandatory consumer-protection rights available to you in your place of residence.
